Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you and SellMyRig, Inc. (“SellMyRig,” “we,” "us," or "our") governing your access to and use of the SellMyRig website, mobile applications, and related services (collectively, the “Platform”).

BY ACCESSING OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, YOU MUST NOT ACCESS OR USE THE PLATFORM.

You must be at least 18 years old and capable of forming a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

When you create an account, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access or use of your account.

SellMyRig operates an online marketplace and service platform for private-party commercial vehicle transactions. Our services include:

• Listing and browsing commercial trucks, trailers, and equipment for sale;
• Facilitating buyer-seller communication and negotiation;
• Providing escrow, title transfer, and lien payoff services;
• Offering financing application tools connected with third-party lenders;
• Coordinating third-party vehicle inspections through certified inspectors;
• Arranging transportation and delivery of purchased equipment.

SellMyRig is not a dealer, broker, or lender. We are a technology platform that connects buyers, sellers, lenders, inspectors, and carriers. We do not take title to vehicles, guarantee transactions, or warranty any equipment.

You agree not to use the Platform to:

• Violate any applicable law, regulation, or ordinance;
• Infringe upon the intellectual property rights of others;
• Post false, misleading, fraudulent, or inaccurate listings or information;
• Harass, abuse, threaten, or defraud other users;
• Distribute malware, viruses, or other harmful code;
• Scrape, crawl, or use automated means to access the Platform without authorization;
• Circumvent fees owed to SellMyRig by completing off-platform transactions initiated on the Platform.

Sellers are solely responsible for the accuracy and completeness of their listings. All vehicles are sold by private-party sellers and are generally offered "as-is, where-is" unless otherwise stated. SellMyRig does not inspect, warrant, or guarantee the condition, title status, or legal ownership of any vehicle listed on the Platform.

Buyers are strongly encouraged to order an independent inspection and verify title status before completing a purchase. SellMyRig provides inspection and title verification tools, but the final decision to purchase rests with the buyer.

When a transaction is completed through our escrow service, funds are held by our licensed escrow partner until the agreed-upon conditions are met (e.g., title transfer confirmation, lien release, or buyer approval). SellMyRig charges fees for certain services, which are disclosed at the time of the transaction.

Inspection services are performed by independent, certified third-party inspectors contracted through the SellMyRig network. SellMyRig does not employ inspectors directly.

Inspection reports reflect the inspector's professional opinion at the time of the inspection based on a standardized digital checklist. Reports are not warranties or guarantees. Hidden defects, intermittent issues, or conditions that arise after the inspection are not covered.

Inspection fees are non-refundable once the inspection has been dispatched. If an inspector is unable to complete the inspection due to access issues or seller non-cooperation, a full refund will be issued.

Certain features and services on the Platform require payment of fees, which are disclosed prior to purchase. All fees are quoted in U.S. dollars and are non-refundable except as required by law or as expressly stated in these Terms.

Payment processing is handled by third-party payment processors. By submitting payment information, you authorize us and our payment partners to charge the applicable fees to your payment method.

All content on the Platform, including text, graphics, logos, images, software, and code, is the property of SellMyRig or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works from, or exploit any content without our prior written consent.

By posting content (including listings, photos, videos, and reviews) to the Platform, you grant SellMyRig a non-exclusive, royalty-free, perpetual, irrevocable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and promoting the Platform.

THE PLATFORM AND ALL SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, SELLMYRIG DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SELLMYRIG DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. NO ADVICE OR INFORMATION OBTAINED FROM THE PLATFORM OR THROUGH OUR SUPPORT CHANNELS SHALL CREATE ANY WARRANTY.

VEHICLES LISTED ON THE PLATFORM ARE SOLD BY PRIVATE PARTIES. SELLMYRIG MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE CONDITION, QUALITY, SAFETY, OR LEGAL STATUS OF ANY VEHICLE. ALL TRANSACTIONS ARE AT THE BUYER'S AND SELLER'S OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SELLMYRIG, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY GOODS OR SERVICES OBTAINED THROUGH THE PLATFORM; OR (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID TO SELLMYRIG IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless SellMyRig and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt arising from: (i) your use of and access to the Platform; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your content caused damage to a third party.

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Platform shall first be addressed through informal negotiation. If the dispute cannot be resolved informally, it shall be resolved through binding arbitration in Dallas County, Texas, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after revisions become effective, you agree to be bound by the revised Terms.
